Pursuant to General Instruction E to Form S-8, Cipher Mining Inc. (the Registrant) is filing this Registration Statement with the U.S. Securities and Exchange Commission (the Commission) to register 7,659,633 additional shares of the Registrants Common Stock for issuance under the Cipher Mining Inc. 2021 Incentive Award Plan (the Plan). This Registration Statement hereby incorporates by reference the contents of the Registrants registration statement on Form S-8 filed with the Commission on November 17, 2021 (File No. 333-261148) to the extent not superseded hereby.
